Deadline and key dates for Aevex Corp. investors
- Lead plaintiff deadline: October 20, 2026
- Class period: April 14, 2026 to June 4, 2026, inclusive
- Complaint filed: August 20, 2026
- Court: U.S. District Court for the Southern District of California
What happened?
On June 1, 2026, roughly six weeks after its April 2026 initial public offering, Aevex announced plans to sell eight million additional Class A shares to the public in a secondary public offering, even though its IPO documents had stated that its controlling private equity owner, Madison Dearborn Partners, LLC, was subject to a 180-day lock-up.
On this news, Aevex's stock price fell $6.17, or 15.98%, to close at $32.44 per share on June 2, 2026, thereby injuring investors.
Then, on June 5, 2026, Aevex filed the final prospectus for the secondary offering, which revealed that underwriters had agreed to waive the lock-up restrictions so that Madison could sell its Aevex holdings, exposing a previously undisclosed plan to waive the lock-up.
On this news, Aevex's stock price fell $1.74, or 7.07%, to close at $22.87 per share on June 5, 2026, thereby injuring investors further.
What does the Aevex Corp. complaint allege?
The Aevex Corp. securities lawsuit alleges that, throughout the class period, defendants made materially false and/or misleading statements and failed to disclose material adverse facts about Aevex Corp.'s business, operations, and prospects. Specifically, the complaint alleges defendants failed to disclose to investors that: (1) Madison and certain of the underwriter defendants had a pre-arranged plan to end Aevex's 180-day lock-up early and allow a secondary public offering shortly after the IPO; (2) as a result, Madison would sell a significant portion of its Aevex holdings in the secondary offering, with all of the offering's net proceeds going to Madison and none to Aevex; and (3) as a result, defendants' positive statements about Aevex Corp.'s business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times.
Investors who purchased or otherwise acquired Aevex Corp. securities during the class period may move the Court no later than October 20, 2026 to request appointment as lead plaintiff in this putative class action lawsuit.
"The complaint filed against Aevex Corp. alleges that, among other things, the Company failed to disclose that Madison and certain of the underwriter defendants had a pre-arranged plan to end Aevex's 180-day lock-up early and allow a secondary public offering shortly after the IPO. Investors who want to help lead this case must ask the Court by October 20, 2026, and that date is coming soon," said Charles H. Linehan, Partner at Glancy Prongay Wolke & Rotter LLP.
